1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and
ChaleWoya Ltd. ("ChaleWoya," "we," "us," or "our") regarding your use of the ChaleWoya mobile
application and website (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any
part of these Terms, you may not access the Service.
2. Description of Service
ChaleWoya is a technology platform that connects customers with independent okada (motorcycle)
riders in Ghana for delivery services. We facilitate the arrangement of delivery services but do
not directly provide transportation or delivery services.
2.1 Platform Features
- Name Your Fare: Customers set delivery prices
- Counter-bidding: Okada riders can accept or counter-bid
- Real-time Tracking: Live location updates during deliveries
- Community Platform: Okada riders keep 100% of earnings
- Membership System: Subscription-based access for riders
3. User Accounts and Registration
3.1 Account Creation
To use our Service, you must:
- Be at least 18 years of age
- Provide accurate and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
3.2 Account Types
- Customer Accounts: For requesting delivery services
- Okada Rider Accounts: For providing delivery services
- Dual-mode Accounts: Combined customer and rider access
4. Customer Responsibilities
4.1 General Obligations
As a customer, you agree to:
- Provide accurate pickup and delivery information
- Be available at specified times and locations
- Pay all applicable fees and charges
- Treat okada riders with respect and professionalism
- Comply with all applicable laws and regulations
4.2 Prohibited Items
You may not request delivery of:
- Illegal substances or contraband
- Dangerous, hazardous, or toxic materials
- Weapons, explosives, or ammunition
- Live animals (except certified service animals)
- Items exceeding size or weight limitations
- Perishable items without proper packaging
- Items requiring special licenses or permits
5. Okada Rider Responsibilities
5.1 General Obligations
As an okada rider, you agree to:
- Maintain valid driver's license and vehicle registration
- Carry appropriate insurance coverage
- Provide safe and reliable delivery services
- Follow all traffic laws and safety regulations
- Treat customers professionally and courteously
- Maintain active membership payments
5.2 Vehicle Requirements
- Roadworthy motorcycle in good condition
- Valid vehicle registration and insurance
- Appropriate safety equipment (helmet, protective gear)
- Secure storage for delivery items
5.3 Membership System
Okada riders must maintain active membership to access the platform:
- Daily Membership: GH₵18 per day
- Weekly Membership: GH₵110 per week
- Monthly Membership: GH₵400 per month
6. Pricing and Payments
6.1 Fare Structure
ChaleWoya operates on a "name your fare" model:
- Customers set initial delivery prices
- Okada riders can accept or counter-bid
- Final price is agreed upon by both parties
- Okada riders keep 100% of delivery earnings
6.2 Payment Processing
- Payments are processed through secure third-party providers
- Customers are charged upon delivery completion
- Okada riders receive payments directly
- Membership fees are collected separately
7. Platform Rules and Conduct
7.1 Prohibited Conduct
Users may not:
- Use the Service for illegal activities
- Harass, threaten, or discriminate against other users
- Provide false or misleading information
- Attempt to circumvent platform fees or payments
- Interfere with the Service's operation
- Create multiple accounts to avoid restrictions
7.2 Content Guidelines
- Profile information must be accurate and appropriate
- Communications must be respectful and professional
- No spam, advertising, or promotional content
- Respect intellectual property rights
8. Safety and Insurance
8.1 Safety Measures
ChaleWoya implements various safety features:
- Identity verification for all users
- Real-time tracking and monitoring
- Rating and review system
- 24/7 customer support
- Emergency contact features
8.2 Insurance and Liability
Okada riders must maintain appropriate insurance coverage. ChaleWoya provides additional coverage
for qualifying deliveries, subject to terms and conditions.
9. Limitation of Liability
To the maximum extent permitted by Ghanaian law, ChaleWoya's liability is limited as follows:
9.1 Service Limitations
ChaleWoya is not responsible for:
- Actions or omissions of independent okada riders
- Loss, damage, or theft of items during transport
- Delays due to traffic, weather, or other circumstances
- Third-party service failures or interruptions
- User disputes or conflicts
9.2 Maximum Liability
Our total liability for any claim shall not exceed the amount paid for the specific delivery in
question, or GH₵100, whichever is greater.
10. Dispute Resolution
10.1 Internal Resolution
We encourage users to resolve disputes through our platform's built-in resolution tools and
customer support.
10.2 Mediation and Arbitration
Unresolved disputes will be handled through:
- Good faith mediation attempts
- Binding arbitration under Ghanaian law
- Jurisdiction of Ghanaian courts
11. Intellectual Property
The ChaleWoya platform, including its software, design, content, and trademarks, is owned by
ChaleWoya Ltd. and protected by intellectual property laws.
11.1 License to Use
We grant you a limited, non-exclusive license to use our Service for its intended purpose. This
license does not include rights to:
- Modify or create derivative works
- Reverse engineer or decompile
- Use our trademarks or branding
- Redistribute or resell access
12. Termination
12.1 Termination by Users
You may terminate your account at any time through the app settings or by contacting customer
support.
12.2 Termination by ChaleWoya
We reserve the right to suspend or terminate accounts for:
- Violation of these Terms
- Fraudulent or illegal activity
- Safety concerns
- Non-payment of membership fees
- Abuse of the platform
13. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy
Policy to understand how we collect, use, and protect your information.
14. Governing Law
These Terms are governed by the laws of Ghana. Any legal proceedings must be conducted in the
appropriate courts of Ghana.
15. Changes to Terms
We may modify these Terms at any time. We will notify users of significant changes through:
- In-app notifications
- Email communications
- Website announcements
Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will
continue in full force and effect.
18. Acknowledgment
By using ChaleWoya's services, you acknowledge that you have read, understood, and agree to be
bound by these Terms and Conditions. You also acknowledge that these Terms constitute the
complete agreement between you and ChaleWoya regarding the use of our Service.
